1. Scope
All sales, deliveries, and services provided by us are subject to the following terms and conditions. We do not recognise any conflicting terms and conditions of our contractual partners, even if we execute orders without expressly objecting to these terms and conditions again in advance. Our terms and conditions shall be deemed accepted upon placement of an order or acceptance of deliveries or partial deliveries by the contractual partner. They shall also apply to all future business relationships without the need for a new express agreement.
2. Offers
Offers are always subject to change. Our written or telex order confirmation is required for the conclusion of a contract. This is replaced by delivery or performance and/or invoicing. Offers and the acceptance or confirmation of orders are subject to timely and sufficient delivery to us. In the event of insufficient delivery to us, we are entitled to withdraw from the contract after a period of 14 days.
3. Delivery
Delivery or performance deadlines and dates are considered to be approximately agreed. Early delivery/performance is permitted. If we are in default of delivery or performance, the contractual partner must set us a reasonable grace period of at least 14 days before it can exercise its rights under § 326 BGB (German Civil Code). Claims for damages due to delayed delivery/performance are excluded in all cases, unless caused by intent or gross negligence on our part.
4. Shipping
Goods are always shipped to the contractual partner at their expense and risk. Unless expressly agreed otherwise, shipping is only carried out domestically by cash on delivery. The transport risk is also borne by the contractual partner if the shipping costs are borne by us in exceptional cases. Upon written request, the goods can be insured against transport damage.
5. Terms of payment
All prices quoted are in euros and include the applicable value-added tax. Our deliveries/services are payable immediately upon receipt of the invoice, at the latest 14 days after the invoice date, without deduction. Deviating agreements regarding due dates and deductions must be made in writing. If the contractual partner is in default of payment, we are entitled to charge default interest at a rate of 2% above the respective discount rate of the Deutsche Bundesbank. Proof of higher or lower damage caused by default is not excluded. Delivered goods remain our property until the purchase price has been paid in full.
6. Warranty
The statutory warranty period of 6 months applies. The warranty shall be fulfilled at our discretion by repair or replacement. The contractual partner is entitled to demand rescission of the contract if repairs fail several times. Damage caused by improper use, handling or maintenance, by failure to observe the operating instructions or by unauthorised intervention by third parties is excluded from the warranty.
7. Liability and limitation of liability
Liability on our part or on the part of our vicarious agents is excluded except in cases of intent and gross negligence. In particular, we are not liable for lost profits, lost savings, or other indirect consequential damages.
8. Miscellaneous
The law of the Federal Republic of Germany shall apply to all legal relationships between the parties. Other national laws and international sales law are excluded. Should any of the above terms and conditions be invalid, this shall not affect the validity of the remaining terms and conditions. The invalid clause shall then be replaced by mutual agreement with a clause that comes closest to the economic purpose and intention of the invalid clause.
9. Place of performance
The place of performance for all legal obligations arising from the contractual relationship is Sindelfingen. The place of jurisdiction for all disputes arising from the contractual relationship and its initiation and execution is Sindelfingen or a place of our choice.
